Terms of Service

1. Acceptance of Terms

By accessing or using StoX-Ray ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. These Terms constitute a binding agreement between you and the operator of StoX-Ray, a Swiss individual operating as a sole proprietorship (Einzelunternehmen) under Swiss law.

We reserve the right to update these Terms at any time. Material changes will be communicated via in-app notice or email. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

StoX-Ray is a portfolio X-ray tool. When you enter your holdings, it fetches publicly available fundamental financial data and calculates your proportional ownership of the underlying businesses — your share of revenue, EBITDA, cash, and debt across your portfolio. It is a read-only analytical tool.

StoX-Ray is not a trading platform, brokerage, robo-adviser, performance tracker, or portfolio management service. It does not execute trades, hold assets on your behalf, connect to your brokerage account, or provide personalised investment recommendations.

3. Payments, Subscriptions, and Billing

When you purchase a paid plan or subscription, you are entering into a payment agreement with Lemon Squeezy, LLC (United States), not with the operator of StoX-Ray. Lemon Squeezy is responsible for collecting payment, issuing receipts, handling tax compliance (including VAT where applicable), and processing refund requests in accordance with their policies.

Subscription prices are displayed in the currency shown at the time of purchase. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting Lemon Squeezy support.

4. Free Tier

StoX-Ray may offer a free tier with limited functionality. The free tier is provided strictly "as is" and "as available" with no warranty of any kind, no uptime guarantees, and no commitment to continued availability. The operator reserves the right to modify, limit, or discontinue the free tier at any time without notice or compensation.

5. Account and User Data

To use StoX-Ray you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at info@stox-ray.xyz if you suspect unauthorised access.

You are solely responsible for the accuracy of the portfolio holdings data you enter. StoX-Ray does not connect to your brokerage and does not verify whether entered positions reflect your actual holdings.

You must not use the Service if you are prohibited from doing so under any applicable law, or if you are under the age of 18.

6. Third-Party Data

Fundamental financial data displayed in StoX-Ray is sourced from third-party data providers (including Yahoo Finance, Financial Modeling Prep, and others). This data may contain errors, omissions, delays, or inconsistencies caused by those providers. StoX-Ray does not guarantee the accuracy, completeness, or timeliness of any third-party data, and is not responsible for decisions made in reliance upon it.

7. Intellectual Property

All content, software, design, code, branding, and materials associated with StoX-Ray are the exclusive property of the operator or its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Service beyond the limited right to use it in accordance with these Terms.

You may not reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the Service without prior written consent from the operator. Your portfolio data remains your property. By entering data into the Service, you grant the operator a limited, non-exclusive licence to store and process that data solely for the purpose of providing the Service to you.

8. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit malicious code or attempt to gain unauthorised access to systems; (c) scrape, crawl, or extract data from the Service by automated means; (d) impersonate any person or entity; or (e) interfere with the proper functioning of the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by Swiss law, the operator expressly disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, and uninterrupted availability.

The operator does not warrant that the Service will be error-free, secure, or available at any particular time. Prices and fundamental data are fetched from third-party sources and cached — they may be stale, incomplete, or incorrect.

10. Limitation of Liability

To the maximum extent permitted by Swiss law (noting that Art. 100 of the Swiss Code of Obligations prohibits exclusion of liability for intentional acts or gross negligence), the operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. This includes, without limitation, losses resulting from investment decisions made in reliance on data displayed by StoX-Ray.

Where liability cannot be excluded under Swiss law, the operator's total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees you have paid to the operator (not Lemon Squeezy) in the twelve (12) months immediately preceding the event giving rise to the claim. If you have paid no fees, the operator's liability is limited to CHF 100.

StoX-Ray is not a regulated financial service. The operator is not liable for any regulatory consequences arising from your use of the Service.

11. Indemnification

You agree to indemnify, defend, and hold harmless the operator and any affiliated individuals from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any investment decision you make based on data provided by the Service.

12. Termination

The operator reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is harmful to the Service, other users, or the operator. In the event of termination for cause, no refunds will be issued for any unused portion of a paid subscription, except where required by applicable law.

You may delete your account at any time through the settings page. Upon deletion, all your personal data and portfolio holdings will be permanently removed from the operator's servers. Payment records held by Lemon Squeezy are governed by their own data retention policies.

13. Modification and Discontinuation

The operator reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. The operator shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed exclusively in accordance with Swiss law (Schweizerisches Recht), excluding its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts at the operator's place of domicile in Switzerland, subject to any mandatory jurisdiction rules that may apply in your country of residence as a consumer.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable. All other provisions shall remain in full force and effect.
